These Terms of Service (“Terms”) govern your access to and use of the websites, applications, products, and services (collectively, the “Services”) operated by Lafayette Standard Co. (“Lafayette,” “we,” “us,” or “our”) and its portfolio companies. By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
Lafayette Standard Co. is a venture studio that builds and operates technology-enabled services through its portfolio companies. The specific features and functionality of each Service are described on the applicable website or application. We reserve the right to modify, suspend, or discontinue any Service at any time, with or without notice.
Certain Services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
By providing your phone number or email address to us, you consent to receive communications from us related to the Services, including via telephone calls, SMS/text messages, email, and push notifications. These communications may include service notifications, account verification, appointment reminders, transactional updates, and promotional offers. Message and data rates may apply.
You may opt out of promotional SMS messages at any time by replying STOP to any message. You may opt out of promotional emails by clicking the “unsubscribe” link in any email. Opting out of promotional communications will not affect transactional or service-related messages.
You acknowledge that certain Services may involve automated telephone calls or text messages, including those made using an automatic telephone dialing system or prerecorded voice, and you consent to receiving such communications at the phone number you provide.
You acknowledge and agree that telephone calls made to or from Lafayette or its portfolio companies may be recorded or monitored for quality assurance, training, compliance, or dispute resolution purposes. Where required by applicable law, we will provide notice at the beginning of a recorded call and obtain any necessary consent.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to: use the Services in any way that violates any applicable federal, state, local, or international law or regulation, including without limitation the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and any applicable state telemarketing or consumer protection laws; use the Services to transmit any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation; use the Services to impersonate or attempt to impersonate Lafayette, a Lafayette employee, another user, or any other person or entity; use the Services to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or that may harm Lafayette or users of the Services; use the Services to transmit any material that is defamatory, obscene, threatening, abusive, hateful, or otherwise objectionable; attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, any server on which the Services are hosted, or any server, computer, or database connected to the Services; use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission; or introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
The Services and their entire contents, features, and functionality, including but not limited to all information, software, text, displays, images, audio, and the design, selection, and arrangement thereof, are owned by Lafayette, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes, subject to these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from the Services except as permitted by these Terms.
Certain Services may allow you to submit, post, or transmit content, including text, images, data, and other materials (“User Content”). You retain ownership of your User Content, but by submitting User Content through the Services, you grant Lafayette a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform your User Content in connection with operating and providing the Services.
You represent and warrant that you own or have the necessary rights to submit your User Content and that your User Content does not violate the rights of any third party.
The Services may contain links to or integrations with third-party websites, applications, or services that are not owned or controlled by Lafayette. We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, LAFAYETTE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LAFAYETTE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LAFAYETTE, ITS AFFILIATES, PORTFOLIO COMPANIES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF LAFAYETTE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL LAFAYETTE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID TO LAFAYETTE, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Lafayette, its affiliates, portfolio companies, and their respective officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any rights of another party.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Lafayette regarding the Services and supersede all prior agreements and understandings, whether written or oral.
We may revise these Terms from time to time. If we make material changes, we will notify you by updating the “Effective Date” above and, where required by law, providing additional notice. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms.
